# Xenia Connect Terms and Conditions These Terms apply to your use of the Xenia Connect API. By proceeding with the API connection, you confirm that you accept and agree to be bound by these Terms and the API Information Pack provided via [https://docs.xenia.staysitu.com/](https://docs.xenia.staysitu.com/) Our Client Agency Terms and Conditions [https://www.staysitu.com/agency-terms-and-conditions](https://www.staysitu.com/agency-terms-and-conditions), or the Client Contract you have signed with us, also apply to your use of the API and form part of these Terms, insofar as they are applicable (including for the avoidance of doubt, the data protection provisions). ## 1. Access and Use - You may use the API solely for internal business purposes to connect your systems with ours for booking accommodation. - You must follow all instructions and technical requirements set out in the API Information Pack. - You must keep your API Key secure and not share it with anyone except authorised users within your organisation. ## 2. Data Protection - You confirm that you will transfer personal data to us via the API, including that relating to individuals who will occupy the booked accommodation. - You are the data controller of this personal data and must ensure you have all necessary consents or legal bases to share it with us. - We will process this data in accordance with our Privacy Policy [https://www.staysitu.com/privacy-policy](https://www.staysitu.com/privacy-policy), applicable UK data protection laws, and the data protection provisions of your Client Contract or our Client Agency Terms and Conditions (as the case may be) ## 3. Confidentiality - You must keep confidential all non-public information we provide to you, including the API, API Key, documentation, and any data received through the API. - You may only use this information to access and use the API as permitted under these Terms. - This obligation continues even after your access to the API ends. ## 4. Your Responsibilities - You must not use the API in any way that breaches applicable laws or infringes third-party rights. - You must not attempt to reverse engineer, copy, or modify the API. - You must monitor usage and prevent any misuse or unauthorised access. - You must not use, disclose, or reproduce any intellectual property, proprietary materials, or confidential information made available via the API except as expressly permitted under these Terms. - All such materials remain our exclusive property, and you must not remove, obscure, or alter any proprietary notices. ## 5. Our Responsibilities - We will use reasonable efforts to ensure the API is available and functions as described in the API Information Pack. - We may update or suspend the API at any time for maintenance, security, or legal reasons. ## 6. Limitation of Liability - The API is provided 'as is' and we do not guarantee uninterrupted or error-free access. - We are not liable for any indirect, special, or consequential losses, including loss of profits, business, or data. - Our total liability to you, howsoever arising, shall not exceed £10,000. ## 7. Indemnity - You agree to indemnify us against any claims, losses, or costs arising from your use of the API, including any breach of these Terms or misuse of personal data. ## 8. Termination - We may suspend or terminate your access to the API immediately if you breach these Terms. - Either party may terminate these Terms by giving the other party 90 days' written notice. - On termination, you must stop using the API and delete any data obtained through it. ## 9. Governing Law - These Terms are governed by the laws of England and Wales. - Any disputes will be subject to the exclusive jurisdiction of the courts of England and Wales.
